CORPORATE SOCIAL RESPONSIBILITY MANUAL

1.  General Overview

This Corporate Social Responsibility (CSR) Manual has been developed based on a general understanding of corporate management’s social responsibilities, as outlined in the guiding principles below.

Hereinafter referred to as “UVI”,

We commit to upholding these principles and accept responsibility for the outcomes of all business decisions and activities related to legal, economic, technical, social, and environmental matters arising within our operations. Through our commitment to these standards, UVI actively contributes to the socioeconomic development of the host country and all regions where we operate.
Our operations comply with all applicable regulations. We are guided by ethical principles and values, especially integrity, honesty, and respect for human dignity, as reflected in the principles of the Universal Declaration of Human Rights (UDHR); the Guidelines for Multinational Enterprises of the Organisation for Economic Co-operation and Development (OECD); the core labor standards of the International Labour Organization (ILO); the fundamental principles of the World Trade Organization (WTO); and the laws of Vietnam.
This Corporate Social Responsibility Manual sets out the fundamental principles of conduct and requires full compliance from all personnel. This standard applies to all relevant departments within UVI and to our suppliers.
We expect our business partners to share the same fundamental understanding. This Manual does not serve as a basis for third-party rights or benefits.

2.  Legal Compliance

We commit to fully complying with all relevant laws, meaning that we must adhere to the applicable laws and legal requirements in the countries or regions where we operate. In cases where local laws and regulations are less stringent, we will act in accordance with the principles set forth in this Corporate Social Responsibility Manual.
Local law shall take precedence when there is a clear conflict between local legal obligations and the principles in this Corporate Social Responsibility Manual. Otherwise, we will make every effort to fully comply with the provisions of this Corporate Social Responsibility Manual.

3.  Integrity and Compliance

We conduct both internal and external assessments regarding integrity and compliance, covering the following areas:

3.1. Anti-Corruption

We have zero tolerance for any form of corruption, bribery, or intimidation that undermines fair competition. Promising, exchanging, planning, requesting, or accepting any gifts intended to influence business decisions or obtain an unfair business advantage is strictly prohibited. Such misconduct is not tolerated. When working with government officials, these standards must be applied with the utmost strictness.

3.2. Fair Competition

We adhere to the principles of fair competition and comply with antitrust laws both domestically and internationally. We do not engage in activities such as price-fixing, market sharing, or collusion in sales or bidding with customers.
Currently, UVI does not have an internal sales department; however, all activities related to fair competition are supported by UMC Corporation. All principles of fair competition are established based on UMC’s Corporate Social Responsibility Manual.

3.3. Anti-Money Laundering

Anti-money laundering refers to the process of transferring illegally obtained funds or assets into the legitimate financial system. We comply with anti-money laundering laws and do not participate in any transactions intended to conceal or disguise criminal activities or illicit assets.

3.4. Information and Intellectual Property Protection

We protect and respect confidential information and intellectual property rights. We also ensure that any transfer of technology or business know-how is conducted in a way that safeguards intellectual property rights, customer information, trade secrets, and other non-public information. We comply with all applicable laws to protect trade secrets and to keep our business partners’ confidential information secure.

3.5. Data Protection

We process and retain personal data in accordance with applicable laws. Accordingly, personal data is handled confidentially and is collected only as permitted by law, for clearly defined and transparent purposes. We retain personal data solely to prevent loss, alteration, unauthorized use, or disclosure by utilizing appropriate technologies and organizational safeguards.

3.6. Export Control

We comply with all legal standards related to export controls, including, but not limited to, licensing requirements, export prohibitions, and restrictions on supporting the delivery or export of products. Furthermore, we comply with international laws in the countries and regions where we import or export our products.

3.7. Avoiding Conflicts of Interest

We seek to avoid internal and external conflicts of interest that could jeopardize our business relationships. If such conflicts cannot be resolved, we will disclose them for community consultation.

4.  Health and Safety

We protect employee health and safety by implementing and maintaining our Occupational Health and Safety Management System according to ISO 45001, which includes:
Adhering to all applicable Vietnamese and international workplace safety laws and guidelines;
Creating safe work environments and clear safety policies, and providing appropriate personal protective equipment;
Implementing preventive actions, emergency procedures, accident reporting systems, and continuous improvement measures;
Providing sufficient drinking water and access to clean sanitary facilities for all employees;
Conducting regular health check-ups for all employees;
Maintaining 24-hour risk insurance coverage for all employees;
Ensuring that all employees receive comprehensive health and safety training and instructions.

5.  Working Hours and Wages

In addition to the applicable regional minimum wage, salaries are determined in accordance with the law wherever possible and are governed by the terms of the labor contract.
Employees are provided with detailed information about their wages on a daily basis. We comply with all relevant labor laws, and we reference international labor standards regarding maximum working hours to ensure that,
Working hours, including overtime, do not exceed the maximum limits set by industry regulations..
The total number of working hours per week, including overtime, is in accordance with the Vietnamese Labor Code and the Collective Labor Agreement signed with the Trade Union, including under exceptional conditions or other specific agreements.
Employees are entitled to at least one full day off each week..

6.  Human Rights Compliance

We are committed to promoting the protection and realization of widely recognized human rights.
Respecting individual values, privacy, and personal freedoms;
Protecting and maintaining the right to freedom of speech and expression within the legal framework, including through the company website and other channels;
The Policy on Violation Reporting and Whistleblower Protection clearly defines whistleblowing and retaliation, as well as protection measures and procedures for handling violations, the roles and responsibilities of employees, supervisors/managers, and the organization, as well as steps to protect employees from retaliation and to address complaints;
Not concealing or tolerating unacceptable employee conduct, such as physical or mental abuse, personal or sexual harassment, or discrimination.

6.1. Prohibition of Child Labor

We do not conceal or tolerate the use of child labor.
We do not hire any employee who cannot provide proof of being at least 18 years old when age verification is required.
We do not employ individuals in hazardous work as defined by ILO Convention No.182
These requirements are specified in the company’s labor regulations.

6.2. Prohibition of Forced Labor

Forced labor, modern slavery, and all practices involving the deprivation of liberty are strictly prohibited. All employment must be voluntary and based on a legitimate employment relationship.
This requirement is specified in the labor agreement between the company and the Trade Union.

6.3. Freedom of Association and Protection of the Right to Organize

We support employees’ rights to freedom of association, the establishment of independent unions, and participation in collective bargaining, as long as these activities are lawful and in compliance with applicable laws. If such rights are not permitted, we will seek alternative arrangements for our employees.

6.4. Promotion of Diversity and Equal Opportunity

We support equal opportunity and do not tolerate or conceal any form of discrimination. We treat all individuals equally, regardless of gender, age, ethnicity, disability, religion, or any other characteristic protected by law.
These requirements are specified in the company’s labor regulations.
The recruitment process is conducted in a public, transparent, and well-documented manner.
Discrimination in recruitment based on non-job-related characteristics such as gender, ethnicity, age, or religion is strictly prohibited.
Before commencing employment, employees must read and sign contracts specifying the terms of employment; before resigning, employees should review these terms.
No deposits or recruitment fees shall be charged to workers. Recruitment platforms used must also not impose any fees on applicants.
Appropriate due diligence is carried out on intermediaries and recruitment agents..
Every employee is entitled to a long-term employment contract in accordance with agreed terms..

6.5. Use of Private or Public Security Forces

UVI is committed to using security personnel to protect the company. These security forces may be deployed to safeguard human rights and company assets in the event of incidents or emergencies.

7.  Environmental, Energy, and Climate Protection

7.1. Overview

We comply with all applicable laws and regulations, as well as international standards, to minimize negative environmental impacts and to continuously improve our environmental and climate protection practices. All requirements of ISO 14001:2015 certification are met, with regular third-party audits conducted to ensure compliance.
All employees are made aware of environmental issues and receive comprehensive training on these topics.
Accordingly, we implement appropriate environmental protection measures, including our company’s Environmental Management System, which covers the following areas:
Establishing environmental objectives, setting performance metrics, and ensuring continuous improvement.

7.2. Energy efficiency and renewable energy

We set specific goals to reduce CO₂ emissions, improve energy efficiency, promote renewable energy throughout our production and supply operations, protect water quality and reduce water consumption; protect air quality; encourage efficient use of resources; reduce waste and pollution in a responsible and appropriate manner; control the use of chemicals hazardous to human health and the environment. Annual targets for energy savings and efficiency are established in line with Uchiyama Corporation group policies.
The use of renewable energy will continue to be promoted and expanded in the future.

7.3. Decarbonization (Greenhouse Gas Emissions)

UVI is committed to reducing greenhouse gas (GHG) emissions across our supply chain. We calculate and track GHG emissions and decarbonization activities resulting from our business operations, and report these results to stakeholders.

7.4. Soil Quality

We provide comprehensive training to employees on environmental laws and regulations, and ensure strict compliance at all times. Whenever relevant laws are updated, we conduct additional training annually or as needed. To protect soil quality, UVI implements the following measures:
Soil quality protection includes the strict implementation of waste classification directly at the source, in accordance with Regulation EPP-81-02 (Solid Waste Management Regulation). Waste is classified at the source and then collected, transported, and treated by third parties.
Controlling the quality of industrial wastewater before discharge into industrial park sewers, in accordance with Regulation EPP-81-03 (Wastewater Management Regulation), with regular inspections.
Controlling the use of chemicals to prevent spills or improper use that could harm the surrounding environment or public health, in compliance with Regulation EPP-81-01 (Chemical Management Regulation).

7.4. Land, Forest, and Water Rights

UVI is committed to complying with all Industrial Park agreements related to the use of land, forests, and water resources..

7.5. Reuse and Recycling

UVI ensures that all waste is treated in accordance with legal and environmental requirements. Our objective is to increase the use of recyclable and reusable materials while reducing the amount of waste generated by our operations. All employees are required to follow the company’s guidelines on recycling and reuse.

7.6. Biodiversity, Land Use, and Deforestation

UVI and our business partners are committed to avoiding negative impacts on biodiversity and aim to become nature-positive by 2050. We are also committed to maintaining supply chains that are free from deforestation and land conversion..

7.7. Noise Pollution

UVI will assess and control noise pollution levels from all sources, including transportation, industrial operations, and daily activities. We are committed to implementing strategies to further reduce noise pollution.

8.  Measures Regarding Conflict Minerals

We take all necessary precautions to avoid the use of conflict minerals in our products, in order to prevent human rights violations, corruption, and the financing of terrorism or similar activities.

9.  Supply Chain

We require our suppliers to implement the standards of this Corporate Social Responsibility Manual in their own supply chains, or to adopt an equivalent standard. All suppliers must ensure compliance with the terms of our agreements, which may be assessed through surveys, onsite or online evaluations, or investigations.
Suppliers are expected to take necessary preventive measures and to report any violations of this Corporate Social Responsibility Manual, so that appropriate corrective actions and action plans can be implemented when needed.

10.  Customer Rights

We implement appropriate measures to protect customer and company interests, especially concerning issues such as information security, prevention of counterfeit products, and intellectual property protection, etc. All customer requests are carefully considered and fulfilled to the best of UVI’s ability..

11.  Implementation and Application

We strive to identify and implement the best methods for the ongoing application, documentation, and enforcement of the values and principles outlined in this Corporate Social Responsibility Manual. Every employee receives the necessary training on these topics and is fully informed about the content of this Manual.
Any violation of these standards will result in disciplinary action, which may include dismissal and legal proceedings.

11.1. Communication

We maintain open communication about the requirements and application of this Corporate Social Responsibility Manual with our employees, customers, suppliers, and our headquarters (UMC). All necessary information is publicly disclosed. In addition, this Manual is available on the company website.

11.2 Reporting and Information on Violations

We have established a mechanism for employees and business partners to report any potential violations of the principles of this Corporate Social Responsibility Manual, including illegal business activities, human rights violations, or occupational safety issues.
Reports can be submitted via the company’s website, which supports multiple languages and allows for anonymous submissions to ensure confidentiality and the safety of whistleblowers.
